A dual listed company
BHP Billiton is a Dual Listed Company (DLC) comprising BHP Billiton Limited and BHP Billiton Plc. BHP Billiton was created through the DLC merger of BHP Limited (now BHP Billiton Limited) and Billiton Plc (now BHP Billiton Plc), which was concluded on 29 June 2001.
The headquarters of BHP Billiton Limited, and the global headquarters of the combined BHP Billiton Group, are located in Melbourne, Australia. BHP Billiton Plc is located in London, United Kingdom. Both companies have identical Boards of Directors and are run by a single management team. Shareholders in each company have equivalent economic and voting rights in both companies.
BHP Billiton Limited has a primary listing on the Australian Securities Exchange and BHP Billiton Plc has a premium listing on the London Stock Exchange, with a secondary listing on the Johannesburg Stock Exchange. In addition BHP Billiton has two American Depositary Receipt listings on the New York Stock Exchange.
From exploration and development through to the conversion and marketing of our products to customers, our structure reflects the value chain of our industry. Our organisation is structured in a way that is focused on building functional expertise and where our people understand their accountabilities.
Minerals Exploration undertakes all greenfield minerals exploration activities, including identifying and acquiring greenfield minerals exploration opportunities.
Resources are developed and converted by our Customer Sector Groups (CSGs) who are responsible for delivering on our strategy. CSGs reflect a unique diversification across markets and geographic regions and produce products including aluminium, base metals, diamonds and specialty products, energy coal, iron ore, manganese, metallurgical coal, petroleum, stainless steel materials and uranium.
Marketing is accountable for the BHP Billiton revenue line, including sales and the physical movement of product to market. Marketing also procures traded commodity inputs to our operations.
Group Functions operate under the instruction of the Group Management Committee to ensure the Group meets governance and assurance requirements, and the activities necessary to improve the overall effectiveness of the Group.
